This Affiliate Agreement (“Agreement”) outlines the terms and conditions under which BuyBackpacksOnline.in (the “Affiliate”) participates in the Amazon Associates Program (“Program”), managed by Amazon India (Amazon Seller Services Private Limited). By participating in the Program and using affiliate links on our website, you (“Affiliate” or “Partner”) agree to the following terms:
1. Enrollment in the Amazon Associates Program
To participate in the Program, the Affiliate must apply to become a member of the Amazon Associates Program and be approved by Amazon India. The Affiliate must provide accurate and complete information during the application process, and maintain an active and valid account with Amazon India in order to receive commission payments.
2. Affiliate Links and Promotion
- Approved Links: The Affiliate will receive a unique affiliate link for Amazon products related to backpacks and other relevant categories. These links must be used solely to direct visitors to Amazon.in.
- Content: The Affiliate agrees to display these links in a manner that is clear, transparent, and in line with the terms set out by Amazon India. The Affiliate will not engage in misleading, deceptive, or illegal practices when promoting Amazon products.
- Promotion Guidelines: The Affiliate is responsible for promoting Amazon products in a manner that complies with the laws, regulations, and guidelines set forth by Amazon India and relevant authorities.
3. Commissions
- Commission Structure: The Affiliate will earn commissions on qualifying purchases made through the affiliate links on BuyBackpacksOnline.in. Commission rates are determined by Amazon India and may vary by product category.
- Payment Terms: Amazon India will pay commissions to the Affiliate based on its policies, including payment schedules and methods. The Affiliate is responsible for ensuring that their Amazon India account details are up to date for receiving payments.
4. Prohibited Activities
The Affiliate agrees not to engage in the following activities:
- Misleading or False Advertising: The Affiliate will not engage in any form of misleading or false advertising that could affect Amazon India’s reputation.
- Inappropriate Content: The Affiliate will not promote Amazon products through any content that is illegal, offensive, or violates any third-party intellectual property rights.
- Bidding on Amazon Keywords: The Affiliate will not bid on Amazon-related keywords, or use Amazon’s trademarks in a manner that violates Amazon’s Advertising Guidelines.
5. Term and Termination
- Term: This Agreement will begin when the Affiliate is approved by Amazon India and continues until terminated by either party.
- Termination: Either party may terminate this Agreement at any time by providing written notice. Amazon India may also terminate the Affiliate’s participation in the Program at its discretion for any violation of the terms and conditions.
6. Intellectual Property
- License: The Affiliate is granted a limited, non-exclusive, and revocable license to use Amazon India’s logos, trademarks, and links solely for the purpose of promoting Amazon products through the affiliate program.
- Ownership: All intellectual property rights in Amazon’s logos, trademarks, and product listings are the exclusive property of Amazon India and cannot be used beyond the scope of this Agreement.
7. Indemnification and Liability
- Indemnification: The Affiliate agrees to indemnify and hold Amazon India harmless from any claims, damages, liabilities, or expenses arising from the Affiliate’s actions, content, or breach of this Agreement.
- Limitation of Liability: Amazon India is not responsible for any direct, indirect, incidental, special, or consequential damages resulting from the use of the affiliate links or participation in the Program.
8. Changes to the Agreement
Amazon India reserves the right to modify the terms of this Agreement at any time. Any changes will be communicated to the Affiliate via email or through the Amazon Associates Program portal. The continued participation in the Program constitutes acceptance of the revised terms.
9. Governing Law
This Agreement is governed by and construed in accordance with the laws of India. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in New Delhi.
